Please read these Terms and Conditions (the "Terms") carefully as they govern your use of MarketOwl, Inc. services, including the website located at https://www.marketowl.ai/ (the "Site"), the Revive application located at https://revive.marketowl.ai, the AI CMO application located at https://aicmo.marketowl.ai, and all related applications, software, and services (collectively, the "Services") provided by MarketOwl, Inc., a company incorporated in Delaware, USA, with operations in Warsaw, Poland.

1. Agreement to Terms

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services. These Terms constitute a legally binding agreement between you and MarketOwl, Inc.

Use of the Services is B2B only. You must be at least 18 years of age and authorized to bind the business entity on whose behalf you are using the Services ("Customer," "you," or "your").

3. Description of Services

MarketOwl provides access to a software platform and AI-powered automation tools. Customers access the Platform on a subscription basis. MarketOwl does not provide marketing or advertising services; the Platform enables Customers to automate their own marketing and outreach activities through software. The following sections describe the Platform's features and capabilities. Users can approve, edit, delete, regenerate, and, if permission is granted, publish content on their social media platforms.

3.2 AI Lead Generation Manager (AI SDR)

Clients may purchase multiple outreach campaigns, even for the same segment, but each campaign must use a unique LinkedIn profile provided by the client.

3.3 AI Reddit Outreach Agent

MarketOwl offers an AI Reddit Outreach Agent designed to send cold messages on Reddit. This service applies to both Reddit Outreach (DM-based prospecting using MarketOwl software/agents) and Reddit Marketing (custom services such as posting, commenting, and community management).

3.4 AI Twitter/X Outreach Agent

MarketOwl offers an AI Twitter/X Outreach Agent designed to send cold direct messages on Twitter/X platform.

3.5 Reddit Marketing (Custom Work)

On request, our team can help with posting, comments, and community management on Reddit. This is custom work delivered under a written scope (email or SOW) and requires 100% prepayment. For requests and scoping, contact cbdo@marketowl.ai (copy hi@marketowl.ai if needed).

We work best-effort within the agreed scope. Delivery timings and outcomes depend on subreddit rules, moderators, community engagement, and platform availability. We may refuse or stop activities that risk bans or violate rules. Custom work fees are prepaid and non-refundable unless required by law.

MarketOwl offers Revive, a conversation analysis and revival tool accessible at https://revive.marketowl.ai.

3.7 AI CMO — Autonomous Marketing Orchestration

MarketOwl offers AI CMO, an autonomous marketing platform accessible at aicmo.marketowl.ai.

4. Service Modes and Responsibilities

Assistant Mode: You select recipients, approve messages, and ensure your content and targeting comply with law, these Terms, and platform rules.

Agent Mode: You configure targeting/style and enable the agent. You remain responsible for goals, legality, and compliance. We may throttle, pause, or adjust patterns to reduce ban/abuse risk.

Platform Rules: You must follow all applicable platform rules, including but not limited to Reddit's User Agreement, Content Policy, Anti-Spam rules, Twitter/X's Terms of Service, LinkedIn's User Agreement, WhatsApp's Terms of Service, and any subreddit-specific or platform-specific rules. MarketOwl is not affiliated with Reddit, Twitter/X, LinkedIn, WhatsApp, Telegram, Google, or any other third-party platform.

5. Rented Profiles (Reddit and Twitter/X Outreach)

Ownership & License: Rented Profiles, anti-detect browsers, proxy setups, warmed identities, and related configurations are MarketOwl property. We grant you a limited, revocable, non-transferable, non-sublicensable license to use Rented Profiles only through the Service and only to view chats and reply to interested recipients from your campaigns.

Hard Restrictions — You Must Not:

No Guarantees: Delivery, reply rates, conversions, and platform availability are not guaranteed. Daily sending numbers are targets, not SLAs.

6. User Content

Users can upload images, videos, and gifs to accompany generated content. This uploaded content may be published on their social media. Users can delete, edit, and generate content to fill out the paid period.

7. Subscriptions and Payments

Current Pricing: All current pricing, plans, and subscription options are available at https://www.marketowl.ai/pricing. Plans, usage limits, overage rules, one-time fees, and renewal terms are shown in your Order Form or inside the app.

Payment Processing: Subscription fees constitute payment for access to the Platform and its features, not for marketing, advertising, consulting, or any other services. (a) by a Stripe payment link (which creates/updates your subscription) or (b) inside the app via Stripe. You can manage your subscription in Stripe's Customer Portal. Alternatively, email hi@marketowl.ai or use the in-app support chat.

Credits (AI CMO): The AI CMO operates on a credit basis. New accounts receive a one-time grant of free Credits at signup; no payment method is required to receive or use the free grant. Additional Credits can be purchased as one-time top-ups or through a subscription that includes a monthly Credit allowance. Credit costs per task type are shown in the app and may change prospectively. Credits (including free grants) have no cash value, are non-transferable, and are non-refundable, except where required by law. Unused subscription-allowance Credits expire as stated in the app. Free promotional Credits may expire or be adjusted by MarketOwl.

Commitment Plans: If a user subscribes with a commitment discount (e.g., 12-month commitment) and cancels early, they agree to reimburse the discount for the months used.

Trials & Refunds: No trial or refund for Lead Generation services, as infrastructure is purchased immediately. No refund for AI SMM Marketer; upon payment, MarketOwl creates a content plan and drafts all posts. No refunds are available for Reddit Outreach, Twitter/X Outreach, or Revive subscriptions. AI CMO free Credits constitute the trial; purchased Credits and AI CMO subscriptions are non-refundable once Credits have begun to be consumed, unless required by law. Fees are prepaid and non-refundable unless required by law or stated in the Order Form.

Taxes: Taxes are your responsibility unless we must collect them.

Legacy Plans: Users on older plans may continue to use them. New users must subscribe under the current pricing.

Technical/Rate Limits: We may introduce or adjust reasonable technical/rate limits to protect the Service or adapt to platform policy changes.

8. Acceptable Use Policy (AUP)

You must not use the Service to:

9. Customer Compliance

You are solely responsible for the substance of messages, targeting, and compliance with platform rules and applicable law. For email or other channels, you remain responsible for lawful basis and required opt-outs. For Revive, you are responsible for ensuring you have proper authorization to access and analyze connected accounts and conversations.

10. Accounts and Access

Keep credentials secure; allow access only to authorized staff. You are responsible for actions under your account. We may audit usage for compliance.

11. Ownership, Data, and Output

11.1 Customer Owns:

Export During Active Subscription: Upon written request during an active subscription, we will provide a one-time export of lists of users contacted by campaign(s) (identifiers as available from the platform) in a reasonable format.

11.2 MarketOwl Owns:

11.3 Service Improvement

To the fullest extent permitted by law, you instruct us and grant us a perpetual, irrevocable, worldwide right to collect, use, and process: (i) usage telemetry and campaign metadata; and (ii) on-platform message content (sent/received DMs) to operate, secure, and improve the Service (including model tuning, quality assurance, analytics). Where required by law, we apply de-identification/anonymization and honor any documented legal opt-out mechanisms.

11.4 Content License

Output generated through the Service is made available to Customer as part of the subscription. Customer may use such Output for its own commercial purposes. This Agreement does not grant Customer any license to MarketOwl's underlying software, models, or algorithms. MarketOwl uses Anthropic, OpenAI, Z.ai, and other third-party AI APIs. Final content is published under the client's name, who assumes responsibility for it.

11.5 Effect of Termination

When your subscription ends, your access to the Service, Rented Profiles, Revive, and the AI CMO stops. You keep only what is already outside the Service (e.g., Off-Platform Leads in your CRM/website/app). Upon termination, unused Credits are forfeited and Connected Tool authorizations are revoked. We have no obligation to transfer Rented Profile identities or any Service Materials, and we do not provide new exports after termination.

11.6 Revive Data Deletion

Upon written request to hi@marketowl.ai, we will delete all Revive-related data, including analyzed conversations, from all MarketOwl servers within 30 days.

12. Suspension and Changes

We may suspend or limit the Service if: (a) you breach these Terms or the AUP; (b) your use creates risk to the Service or violates platform rules; (c) required by law/platform; or (d) for maintenance/emergencies. We may modify or discontinue features with reasonable notice where practicable.

13. Term and Termination

Subscriptions renew as stated in your Order Form. Either party may terminate for material breach uncured within 10 days of written notice. We may terminate immediately for egregious AUP violations or platform-risk events. Sections 5, 8, 9, 11, 14, 15, 16, and 17 survive termination.

14. Disclaimers

THE SERVICE AND CUSTOM WORK ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT DELIVERABILITY, REPLY RATES, CONVERSIONS, OR PLATFORM AVAILABILITY.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE/GOODWILL; AND (B) EACH PARTY'S TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE FEES PAID BY CUSTOMER TO MARKETOWL UNDER THE ORDER FORM DURING THE 12 MONTHS BEFORE THE EVENT. THESE LIMITATIONS APPLY REGARDLESS OF THEORY AND EVEN IF A REMEDY FAILS ITS ESSENTIAL PURPOSE.

The above does not limit liability for fees due, misuse of IP, or willful misconduct.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA. Before any claim, the parties will try to resolve the issue in good faith by emailing hi@marketowl.ai and allowing 10 days to respond.

17. Sanctions and Export Control

You represent that you are not subject to sanctions and will not use the Service from embargoed jurisdictions or for prohibited end users or purposes.

18. Changes to These Terms

We may update these Terms from time to time. Changes are effective upon posting unless stated otherwise. If you continue using the Service after changes take effect, you accept the updated Terms.

Language: If translated, the English version controls in case of conflict.
