1) Scope & Parties

These Terms govern MarketOwl’s Reddit‑focused services: (a) Reddit Outreach (DM‑based prospecting using MarketOwl software/agents) and (b) Reddit Marketing (custom services such as posting, commenting, and community management). The services are provided by MarketOwl, Inc. (“MarketOwl,” “we,” “us”). These Terms apply only to Reddit; other channels are outside this page.

Use is B2B only. You must be at least 18 and authorized to bind the business (“Customer,” “you”).

2) Key Definitions

• Customer Content: data, prompts, inputs, targeting rules, product descriptions, templates, and any material you provide.

• Output: messages generated and sent via the Service for your campaigns (including approved templates for those campaigns), chat histories with recipients, and lists of users contacted during a campaign.

• Leads (Off‑Platform): prospects who performed a target action outside Reddit and outside MarketOwl (e.g., booked a call on your website, signed up in your app, emailed you back, etc.).

• Service Materials: MarketOwl’s software, agents, models, learning patterns, prompts, heuristics, templates, algorithms, UI/UX, infrastructure, anti‑detect/proxy setups, warmed identities, documentation, and any improvements.

• Rented Profiles: Reddit accounts that we provision for DM‑sending in your campaigns.

• Assistant Mode: you approve recipients and messages before sending.

• Agent Mode: you train and enable an autonomous agent to find targets and send messages as configured by you.

• Third‑Party Platforms: Reddit and any other external services. We are not affiliated with Reddit.

• Order Form: in‑app order, payment link, or invoice describing your current subscription/term, usage limits, and commercial terms.

3) Contact, Support & Notices

Legal notices (including termination notices) must be emailed to hi@marketowl.ai.

4) Accounts & Access

Keep credentials secure; allow access only to authorized staff. You are responsible for actions under your account. We may audit usage for compliance.

5) Service Modes & Responsibilities

Assistant Mode. You select recipients, approve messages, and ensure your content and targeting comply with law, these Terms, and Reddit’s rules.

Agent Mode. You configure targeting/style and enable the agent. You remain responsible for goals, legality, and compliance. We may throttle, pause, or adjust patterns to reduce ban/abuse risk.

Platform rules. You must follow Reddit’s User Agreement, Content Policy, Anti‑Spam rules, and any subreddit‑specific rules. We are not affiliated with Reddit.

6) Reddit Rented Profiles (Outreach)

Ownership & license. Rented Profiles, anti‑detect browsers, proxy setups, warmed identities, and related configurations are MarketOwl property. We grant you a limited, revocable, non‑transferable, non‑sublicensable license to use Rented Profiles only through the Service and only to view chats and reply to interested recipients from your campaigns.

Hard restrictions. You must not:

• change account email/username/avatar/bio/password, recovery details, or region/IP;

• post, comment, vote, or interact publicly;

• share access, attempt direct logins to Reddit, bypass anti‑detect/proxy setups, or use other automation tools;

• clone/copy/transfer the persona or “karma” of a Rented Profile.

Bans & replacements.

• Your own profiles: we are not responsible for bans/restrictions.

• Rented Profiles: if a profile is banned while you comply with these Terms and our sending patterns, we will provide a replacement. If logs indicate misuse (e.g., prohibited content, aggressive pacing, delay bypass, rule violations), we may (i) throttle or suspend agents, (ii) charge an Additional Replacement / Misuse Fee as per your Order Form, and/or (iii) terminate for cause.

No guarantees. Delivery, reply rates, conversions, and platform availability are not guaranteed. Daily sending numbers are targets, not SLAs.

7) Acceptable Use Policy (AUP)

You must not use the Service to:

• send spam or deceptive, harassing, illegal, or infringing content;

• target prohibited industries/geographies or violate subreddit rules;

• scrape/crawl in ways prohibited by Reddit;

• handle Sensitive Information (payment cards, government IDs, precise health/medical/biometric data, children’s data, etc.) unless we agree in writing with safeguards;

• evade platform rate limits/enforcement or manipulate platform integrity;

• violate export control/sanctions laws.

We may update the AUP to reflect legal/platform changes.

8) Customer Compliance

You are solely responsible for the substance of messages, targeting, and compliance with Reddit rules and applicable law. For email or other channels (if any), you remain responsible for lawful basis and required opt‑outs (outside this page’s scope).

9) Ownership, Data & Output (Combined Model)

9.1 Customer owns:

• Customer Content;

• Output that is generated and sent via the Service for your campaigns (including approved templates for those campaigns) and the related chat histories with recipients; and

• Leads (Off‑Platform) and all data about leads who performed target actions outside Reddit and outside the Service (e.g., in your CRM, website, or app).

Export during active subscription. Upon written request during an active subscription, we will provide a one‑time export of lists of users contacted by campaign(s) (identifiers as available from Reddit) in a reasonable format.

9.2 MarketOwl owns: all Service Materials, including agents/models, learning patterns, prompts, heuristics, templates, warmed identities, anti‑detect/proxy setups, and Rented Profiles (including their personas/karma), plus any improvements. No rights are granted to Customer except as expressly stated.

9.3 Service improvement (messages & telemetry). To the fullest extent permitted by law, you instruct us and grant us a perpetual, irrevocable, worldwide right to collect, use, and process: (i) usage telemetry and campaign metadata; and (ii) on‑platform message content (sent/received DMs) to operate, secure, and improve the Service (including model tuning, quality assurance, analytics). Where required by law, we apply de‑identification/anonymization and honor any documented legal opt‑out mechanisms.

9.4 Effect of termination. When your subscription ends, your access to the Service and to Rented Profiles stops. You keep only what is already outside the Service (e.g., Off‑Platform Leads in your CRM/website/app). We have no obligation to transfer Rented Profile identities or any Service Materials, and we do not provide new exports after termination.

10) Payments, Billing & Subscriptions (Stripe)

All payments are processed via Stripe: (a) by a Stripe payment link (which creates/updates your subscription) or (b) inside the app via Stripe. You can manage your subscription in Stripe’s Customer Portal. As an alternative, email hi@marketowl.ai or use the in‑app support chat.

Plans, usage limits, overage rules, one‑time fees, and renewal terms are shown in your Order Form or inside the app. Fees are prepaid and non‑refundable unless required by law or stated in the Order Form. Taxes are your responsibility unless we must collect them.

We may introduce or adjust reasonable technical/rate limits to protect the Service or adapt to Reddit policy changes.

11) Reddit Marketing (Custom Work)

On request, our team can help with posting, comments, and community management on Reddit. This is custom work delivered under a written scope (email or SOW) and requires 100% prepayment. For requests and scoping: cbdo@marketowl.ai (copy hi@marketowl.ai if needed).

We work best‑effort within the agreed scope. Delivery timings and outcomes depend on subreddit rules, moderators, community engagement, and platform availability. We may refuse or stop activities that risk bans or violate rules. Custom work fees are prepaid and non‑refundable unless required by law.

12) Suspension & Changes

We may suspend or limit the Service if: (a) you breach these Terms or the AUP; (b) your use creates risk to the Service or violates Reddit rules; (c) required by law/platform; or (d) for maintenance/emergencies. We may modify or discontinue features with reasonable notice where practicable.

13) Term & Termination

Subscriptions renew as stated in your Order Form. Either party may terminate for material breach uncured within 10 days of written notice. We may terminate immediately for egregious AUP violations or platform‑risk events. Sections 6–9 and 12–17 survive termination.

14) Disclaimers

THE SERVICE AND CUSTOM WORK ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT DELIVERABILITY, REPLY RATES, CONVERSIONS, OR REDDIT AVAILABILITY.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE/GOODWILL; AND (B) EACH PARTY’S TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE FEES PAID BY CUSTOMER TO MARKETOWL UNDER THE ORDER FORM DURING THE 12 MONTHS BEFORE THE EVENT. THESE LIMITATIONS APPLY REGARDLESS OF THEORY AND EVEN IF A REMEDY FAILS ITS ESSENTIAL PURPOSE. The above does not limit liability for fees due, misuse of IP, or willful misconduct.

16) Governing Law & Venue — Poland

These Terms are governed by Polish law. The exclusive venue for disputes is the courts of Warsaw, Poland. Before any claim, the parties will try to resolve the issue in good faith by emailing hi@marketowl.ai and allowing 10 days to respond.

17) Sanctions & Export Control

You represent that you are not subject to sanctions and will not use the Service from embargoed jurisdictions or for prohibited end users or purposes.

18) Changes to These Terms; Language

We may update these Terms from time to time. Changes are effective upon posting unless stated otherwise. If you continue using the Service after changes take effect, you accept the updated Terms.

Language. If translated, the English version controls in case of conflict.

• To monitor performance and improve results for all clients

• For customer support and communication

• For analytics and marketing purposes

4. Data Storage and Retention

• We retain your data as long as necessary for providing our services and as required by law.

• We store campaign settings and information about leads identified for you.

• We use secure servers, encryption, and other commercially reasonable methods to protect your data.

5. Sharing and Transfers

• We may share data with service providers working on our behalf.

• Data may be transferred outside your country; in such cases, we ensure appropriate safeguards.

6. Your Rights

You have the right to:

• Access, update, or delete your personal data

• Object or restrict processing

• Request data portability
